Members

The remit of the Members

Members are members of the Academy Trust for the purposes of the Companies Acts. In simple terms the Members "own" the Academy Trust.  They have a number of statutory rights including the right to appoint and remove Directors, the right to amend the Articles (subject to DfE and Charity Commission approval in certain circumstances) and the right to receive the annual accounts. The AFH describes the role of members as "eyes on and hands off".

The Members do not have any specific duties imposed on them. The Members are required to provide a 'guarantee' such that if the Academy Trust were to be wound up and the assets did not meet all of its liabilities, they would be asked to contribute £10.

The appointment of the Members

Members are appointed in accordance with Articles 12 to 17 of the Articles of Association.
